Terms of use
Our terms of use are designed to protect you and us. Please read them carefully before using FleetFlow.
Introduction
These Terms of Use ("Terms") govern the relationship between FleetFlow B.V. (i.o.) ("FleetFlow", "we", "us", or "our") and organizations ("Customer", "you", or "your") who use the FleetFlow platform and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

1. Definitions
- Customer/Organization: Vehicle manufacturers, brands, or organizations using FleetFlow services to manage their fleet operations and customer support.
- End User: Individual consumers, bike owners, or test riders who interact with Customer's services through FleetFlow-powered applications.
- Platform: FleetFlow's web-based dashboard, API, SDK, and related services.
- Customer Data: All data, content, and information uploaded, stored, or processed by Customer through the Services.
- Personal Data: Any information relating to an identified or identifiable natural person as defined under applicable data protection laws.
2. Acceptance and Updates of Terms
- By creating an account or using any part of our Services, you accept these Terms in full.
- We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice.
- Continued use of the Services after such notice constitutes acceptance of the modified Terms.
- If you do not agree to modified Terms, you must discontinue use and may terminate your account.
3. Permitted Usage
Subject to these Terms, FleetFlow grants you a limited, non-exclusive, non-transferable license to:
- Access and use the Platform for managing your fleet operations, customer data, and vehicle information
- Input, view, and manage customer data through our dashboard and reporting tools
- Connect approved third-party applications and integrations
- Use our API and SDK in accordance with our API Terms (Section 8)
- Deploy white-label or embedded applications powered by FleetFlow for your end users
- Access support and training materials provided by FleetFlow
4. Prohibited Conduct
You agree not to engage in any of the following activities:
- Circumvention: Creating custom applications or solutions that directly access underlying data to avoid FleetFlow's billed functions or usage-based pricing
- Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or modify any FleetFlow SDK, API, or front-end components
- Unauthorized Access: Using internal APIs not designated for customer use, scraping our UI or API beyond permitted usage, or attempting to gain unauthorized access to any part of our Services
- Misuse of Credentials: Sharing, selling, or otherwise distributing your FleetFlow account credentials or API keys
- Harmful Activities: Using the Services for any unlawful purpose, distributing malware, or engaging in activities that could harm FleetFlow or other users
- Intellectual Property Violations: Infringing on FleetFlow's or third parties' intellectual property rights
5. Account Registration and Security
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
- You are liable for all activities that occur under your account
- Organizations must ensure only authorized personnel have access to their FleetFlow account
6. Customer Data and Content
- You retain ownership of all Customer Data uploaded to or processed through our Services
- You grant FleetFlow a limited license to process Customer Data solely to provide the Services
- You are responsible for ensuring you have appropriate rights and consents for all Customer Data
- You must comply with all applicable laws regarding data collection, processing, and storage
- FleetFlow will process Personal Data in accordance with our Privacy Policy and Data Processing Agreement
7. Service Level and Platform Limitations
- Services are provided on an "as-is" and "as available" basis
- We do not guarantee 100% uptime or uninterrupted service access
- Planned maintenance windows will be communicated in advance when possible
- Service level agreements (SLA) may be available under separate enterprise agreements
- We reserve the right to impose reasonable usage limits and throttling
- Some features may be in beta and subject to additional limitations
8. API Terms of Use
8.1 API Access and Usage
- API access is subject to rate limits and throttling to ensure platform stability
- Current rate limits: 1000 requests per hour per API key (subject to change with notice)
- Commercial use of FleetFlow's API requires an active paid license
- API keys must be kept confidential and not exposed in public repositories or client-side code
8.2 Data Handling Requirements
- Sensitive data obtained through our API must not be cached longer than necessary for your application's functionality
- Personal data must be handled in accordance with applicable privacy laws
- You must implement appropriate security measures for any data accessed through our API
8.3 Test Environment and Sandbox
- Test/sandbox environments are provided for development and testing purposes only
- Test data should not contain real personal information
- Test environments may have limited functionality and data retention periods
- Production use of test environment endpoints is prohibited
9. Payment and Billing
- Fees are based on your selected plan and actual usage of FleetFlow Services
- Payment terms are specified in your service agreement or order form
- All fees are non-refundable unless otherwise specified in writing
- We reserve the right to suspend services for overdue accounts
- Price changes will be communicated at least 30 days in advance
10. Termination
- Either party may terminate these Terms with 30 days written notice
- FleetFlow may immediately suspend or terminate access for material breach of these Terms
- Upon termination, your access to the Services will cease immediately
- Customer Data will be available for export for 30 days after termination
- All outstanding fees remain due upon termination
11. Disclaimers and Warranties
- FleetFlow makes no warranties beyond those expressly stated in these Terms
- We disclaim all implied warranties including merchantability and fitness for a particular purpose
- We do not warrant that the Services will meet your specific requirements
- We are not responsible for third-party integrations or external services
12. Limitation of Liability
To the maximum extent permitted by law, FleetFlow's total liability under these Terms shall not exceed the amount paid by Customer in the twelve (12) months preceding the claim. FleetFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
13. Indemnification
Customer agrees to indemnify and hold harmless FleetFlow from any claims, damages, or expenses arising from: (a) Customer's use of the Services; (b) Customer's violation of these Terms; (c) Customer's violation of applicable laws; or (d) any claim that Customer Data infringes third-party rights.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of The Netherlands. Any disputes shall be resolved in the courts of The Netherlands. For customers in the European Union, this does not affect your rights under applicable consumer protection laws.
